These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and midlifebridge ("midlifebridge," "we," "us," or "our") governing your access to and use of the midlifebridge website located at midlifebridge.com, all associated subdomains, digital products, course content, tools, guides, downloads, and any other services offered by midlifebridge (collectively, the "Platform").

By accessing the Platform, creating an account, purchasing a product, or using any midlifebridge service in any capacity, you acknowledge that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, have read and understood these Terms, and agree to be bound by them. Description of Services

midlifebridge is a digital educational platform offering pre-diagnosis health navigation resources for women in perimenopause, menopause, and midlife hormonal transition. Our products and services include, but are not limited to:

• Digital courses, guided programs, and structured learning modules
• Interactive tools, journals, trackers, and planning resources
• Audio content, downloadable guides, and reference materials
• Group coaching programs and cohort-based experiences
• Supplementary educational content and resource libraries

All content is for educational and informational purposes only. midlifebridge is not a healthcare provider, medical practice, therapy service, or clinical platform. Nothing offered through midlifebridge constitutes medical advice, diagnosis, treatment, or clinical care.

Eligibility

midlifebridge products and services are intended for adults aged 18 years and older. By accessing the Platform, you represent and warrant that you are at least 18 years of age and are legally capable of entering into binding contracts. midlifebridge reserves the right to refuse access to any person or entity at its sole discretion, including cases of violation of these Terms, fraudulent activity, or conduct harmful to the Platform or its users.

midlifebridge provides educational content only and does not provide medical advice, diagnosis, treatment, or clinical care. No professional healthcare relationship is created by your use of this Platform. You must consult a qualified, licensed healthcare professional before making any changes to your health routine based on content encountered through midlifebridge. Individual health outcomes vary and no results are guaranteed. Your use of this Platform and all decisions you make based on its content are entirely your own responsibility.

Purchases, Payments, and Refund Policy

Payment. All purchases are processed through secure third-party payment processors. By completing a purchase, you authorize the applicable charges. All prices are in US dollars.

Access. Upon successful payment, you will receive access to your purchased product(s) as described at time of purchase. midlifebridge reserves the right to modify product content and delivery, provided such modifications do not materially diminish the core value of the purchase.

Chargebacks. Initiating a chargeback without first contacting midlifebridge is a violation of these Terms. midlifebridge reserves the right to contest any chargeback and revoke access to purchased products.

Intellectual Property and License

All content available through midlifebridge is the exclusive property of midlifebridge or its licensors and is protected by applicable intellectual property laws. Upon purchase, you receive a limited, non-exclusive, non-transferable, revocable personal license for your own personal, non-commercial educational use only.

This license expressly prohibits:

• Copying, reproducing, distributing, or sharing any Content in any form
• Reselling, sublicensing, or commercializing any Content
• Modifying, adapting, or creating derivative works from any Content
• Using any Content to train artificial intelligence or machine learning models
• Screen-recording, downloading, or capturing Content in any unauthorized manner
• Using Content to establish a competing educational product or service

Unauthorized use constitutes a material breach of these Terms and may result in immediate account termination and legal action, including liability for damages under applicable intellectual property law.

Prohibited Uses

You agree not to use the Platform to violate any applicable law, impersonate midlifebridge or any person, transmit spam or malicious code, attempt unauthorized access to the Platform, interfere with or disrupt Platform operations, collect other users' personal data without consent, use automated tools or bots, engage in defamatory or harmful conduct, or use midlifebridge Content to build a competing service. midlifebridge reserves the right to take appropriate legal action against violators.

User Conduct and Community Standards

Participation in any midlifebridge community, cohort, or group program requires respectful engagement. Harassment, bullying, discrimination, or conduct creating a hostile environment is strictly prohibited and may result in immediate removal without refund.

Any content or testimonials you voluntarily submit to midlifebridge may be used by midlifebridge for promotional and educational purposes. By submitting such content, you grant midlifebridge a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, publish, and display it in connection with midlifebridge's business.

Privacy and Data

Disclaimer of Warranties

The Platform and all Content are provided on an "as is" and "as available" basis without warranties of any kind. To the fullest extent permitted by law, midlifebridge expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement; warranties that the Platform will be uninterrupted or error-free; and warranties that any health, wellness, or educational outcomes will be achieved. Your use of the Platform is entirely at your own risk.

Limitation of Liability

To the maximum extent permitted by applicable law, midlifebridge and its officers, founders, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages of any kind, including personal injury, health-related harm, loss of profits, or data loss arising from your use of the Platform.

midlifebridge's total aggregate liability shall not exceed the greater of: (a) the total amount you paid to midlifebridge in the twelve months preceding the claim, or (b) one hundred US dollars ($100.00). Some jurisdictions do not allow certain damage exclusions; in such jurisdictions liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless midlifebridge and its officers, founders, employees, affiliates, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right; (d) any content you submit; or (e) any harm you cause to another user or third party.

Dispute Resolution and Governing Law

Governing Law. These Terms shall be governed by the laws of the State of Hawaii, United States, without regard to conflict of laws provisions.

Informal Resolution. Before initiating formal proceedings, you agree to contact [email protected] and attempt resolution in good faith within thirty (30) days of written notice.

Binding Arbitration. Unresolved disputes shall be settled by binding individual arbitration under AAA rules in Hawaii. You waive the right to class action litigation or class-wide arbitration.

Exceptions. Either party may seek injunctive or equitable relief in court to prevent irreparable harm, including to protect intellectual property.

Modifications to Terms

midlifebridge reserves the right to modify these Terms at any time. Changes will be indicated by an updated "Last Updated" date. For material changes, midlifebridge will make reasonable efforts to notify users. Your continued use of the Platform constitutes acceptance of modified Terms. It is your responsibility to review these Terms periodically.
